In order for us to provide our Services, you agree that we may process, transfer, and store information about you in the United States and other countries, where you may not have the same rights and protections as you do under local law.
Any dispute arising from these Terms and your use of our Services will be governed by and construed and enforced in accordance with the laws of the State of Massachusetts, except to the extent preempted by U.S. federal law, without regard to conflict-of-law rules or principles (whether of the State of Massachusetts or any other jurisdiction) that would cause the application of the laws of any other jurisdiction. Any dispute between the parties that cannot be heard in small-claims court will be resolved in the state or federal courts of Massachusetts and the United States, repectively, sitting in Middlesex County, Massachusetts, and each party irrevocably submits to the exclusive jurisdiction of such courts.
We reserve the right to modify our Services or to suspend or stop providing all or portions of our Services at any time. You also have the right to stop using our Services at any time. We are not responsible for any loss or harm related to your inability to access or use our Services.
If any provision or part of a provision of these Terms is unlawful, void, or unenforceable, that provision or part of the provision is deemed severable from these Terms and does not affect the validity and enforceability of any remaining provisions.
These Terms, including any terms and conditions incorporated herein, constitute the entire agreement between you and Sensopore, Inc. relating to its subject matter and supersedes all other agreements or understandings, whether written or oral, between you and Sensopore relating to its subject matter. Notwithstanding any other provisions of these Terms, Sections 1, 3, 4, 6 (except for the license and rights granted), 7, 8, 9, 10, 11, 12, 13, 14, 15, 16, 17, and this 18 survive any expiration or termination of these Terms.Our failure to exercise or enforce any right or provision of these Terms will not operate as a waiver of such right or provision. The section titles in these Terms are for convenience only and have no legal or contractual effect. Except as otherwise provided herein, these Terms are intended solely for the benefit of the parties and are not intended to confer third-party beneficiary rights upon any other person or entity. You agree that communications and transactions between us may be conducted electronically. These Terms may not be transferred, assigned, or delegated by you, by operation of law or otherwise, without our prior written consent, and any attempted transfer, assignment, or delegation without such consent will be void and without effect. We may freely transfer, assign or delegate these Terms or our Services, in whole or in part, without your prior written consent.
